XERG CLI LICENSE AGREEMENT
This License Agreement ("Agreement") governs use of the @xerg/cli software and associated files distributed in this package (the "Software"), provided by Xerg Inc., a Delaware corporation ("Xerg").
1. License Grant.
Subject to this Agreement, Xerg grants you a limited, worldwide, non-exclusive, non-transferable, revocable license, at no charge, to install and run the Software, in unmodified form, for your internal business or personal purposes, including use by automated agents and CI systems acting on your behalf.
2. Restrictions.
You may not: (a) modify, adapt, translate, or create derivative works of the Software; (b) redistribute, sublicense, sell, rent, lease, or otherwise make the Software available to any third party, except that installation via standard package managers from Xerg's official distribution channels is permitted; (c) reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by applicable law; (d) circumvent or disable any license verification, entitlement, or feature-gating mechanism; (e) use the Software to provide a competing product or a managed or hosted service to third parties; or (f) remove or obscure any proprietary notices.
3. Ownership.
The Software is licensed, not sold. Xerg and its licensors retain all right, title, and interest in the Software. The @xerg/schemas package is separately licensed under the MIT License; nothing in this Agreement modifies that license.
4. Local Operation and Data.
The Software performs analysis locally and transmits data to Xerg's hosted services only upon explicit user action (such as pairing, activation, or push commands). Use of hosted services is governed separately by the Xerg Terms of Service at https://xerg.ai/terms and Privacy Policy at https://xerg.ai/privacy.
5. Feedback.
If you provide feedback or suggestions, Xerg may use them without restriction or obligation.
6. Updates.
Xerg may release updated versions of the Software. This Agreement applies to updates unless an updated agreement accompanies them.
7. Disclaimer.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. COST AND WASTE FIGURES PRODUCED BY THE SOFTWARE ARE ESTIMATES BASED ON AVAILABLE DATA AND PRICING INFORMATION AND ARE NOT AUTHORITATIVE PROVIDER INVOICES OR FINANCIAL ADVICE.
8. Limitation of Liability.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XERG WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THE SOFTWARE, AND XERG'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
9. Termination.
This Agreement terminates automatically if you breach it. Upon termination, you must cease use of the Software. Sections 3, 5, 7, 8, and 10 survive termination.
10. General.
This Agreement is governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. If any provision is unenforceable, the remainder remains in effect. This Agreement is the entire agreement regarding the Software and supersedes prior discussions.
